DinnerMVP legal

Terms of Use

Agreement and acceptance

These Terms of Service are a binding agreement between you and Medstrategic LLC, doing business as DinnerMVP ("DinnerMVP," "we," "us," or "our"). They govern your access to and use of dinnermvp.com, any related web pages, accounts, meal-planning tools, recipes, grocery lists, retailer handoffs, communications, and other services that link to these Terms (collectively, the "Service").

IMPORTANT: THESE TERMS INCLUDE AN ARBITRATION AGREEMENT AND CLASS-ACTION WAIVER IN SECTION 20. THEY AFFECT YOUR LEGAL RIGHTS. YOU MAY OPT OUT OF ARBITRATION WITHIN 30 DAYS AS DESCRIBED THERE. NOTHING IN THESE TERMS LIMITS RIGHTS THAT CANNOT LAWFULLY BE WAIVED.

By creating an account, clicking an acceptance button, purchasing or receiving a subscription, redeeming a Community Access invitation or code, or otherwise using the Service after these Terms are presented to you, you agree to these Terms and acknowledge our Privacy Policy. If you do not agree, do not use the Service.

1 Eligibility and authority

You must be at least 18 years old and legally capable of entering a contract to create an account or purchase a subscription. The Service is intended for residents of the United States. If you use the Service for a household, you are responsible for the information you enter and for communicating relevant dietary and safety information to household members. If you use the Service for an organization, you represent that you have authority to bind that organization; additional written partner terms control if they conflict with these consumer Terms.

2 What DinnerMVP provides

DinnerMVP is a digital meal-planning and shopping-preparation service. Based on information you provide, the Service may generate or display meal plans, recipes, serving quantities, preparation instructions, estimated costs, grocery lists, substitutions, meal replacements, and links or handoffs to third-party retailers or shopping platforms. Features may vary by plan, location, retailer, device, testing cohort, and availability.

DinnerMVP does not sell, prepare, deliver, inspect, or fulfill groceries. We do not act as a dietitian, physician, pharmacist, grocery retailer, payment processor for third-party grocery orders, public-benefits administrator, or insurer. A retailer or shopping provider—not DinnerMVP—sets final products, availability, substitutions, prices, taxes, fees, delivery terms, benefit eligibility, and order fulfillment.

3 Accounts and account security

You must provide accurate, current information and keep it updated. You may not impersonate another person, create accounts through automated means, share credentials in a way that defeats plan limits, or use another person’s account without permission. You are responsible for activity under your account and must promptly notify support@dinnermvp.com of suspected unauthorized access.

One person may not create or control multiple Free accounts to avoid usage limits. We may use reasonable fraud-prevention signals, including account, device, network, payment, redemption, and usage information, subject to our Privacy Policy. We may require email verification or other reasonable verification before providing particular features.

4 Information you provide and plan generation

The Service may request household size, number of cooking nights, budget, dietary preferences, allergens, disliked ingredients, desired cooking time, ZIP code, retailer, leftover preferences, and similar inputs. You are responsible for the accuracy and completeness of those inputs and for reviewing every output before relying on it.

Meal plans may be generated using automated systems, including artificial intelligence. Automated output can be inaccurate, incomplete, duplicative, unavailable, or unsuitable. Recipes, quantities, nutrition-related statements, estimated prices, substitutions, and shopping lists may contain errors. You must use independent judgment and verify information that matters to health, safety, cost, benefit eligibility, or purchasing decisions.

5 Plans and feature limits

Current plan names, prices, billing periods, and included features are displayed at sign-up or purchase and become part of these Terms. Unless a checkout page expressly says otherwise, usage allowances do not roll over, have no cash value, and may not be transferred.

We may add, remove, rename, or modify a plan or feature prospectively. We will not charge a new or increased recurring price without the notice and consent required by applicable law. If a material reduction affects a prepaid period, any remedy required by law will apply.

6 Community Access

Community Access is a sponsored-access program for eligible users associated with an approved partner. DinnerMVP—not the partner—sends account invitations and issues one-time redemption codes. Codes may be limited, nontransferable, subject to an expiration date, and usable only once. Sale, publication, exchange, duplication, or unauthorized transfer of an invitation or code is prohibited.

A partner may provide information identifying approved recipients as permitted by law and the applicable partner agreement. DinnerMVP does not independently determine or verify eligibility for government benefits, insurance, health programs, SNAP, EBT, OTC benefits, or any other public or private benefit. Community Access does not promise that any food item is benefit-eligible.

The partner is the customer for sponsored seats and is billed under a separate agreement, generally by annual ACH invoice based on the greater of activated seats or the contracted minimum. Individual Community Access users are not parties to that partner invoice. If sponsorship ends, access may end or convert to another available plan after any notice required by law or the partner agreement.

7 Paid subscriptions automatic renewal and consent

A paid consumer subscription begins when your payment is accepted. Unless clearly stated otherwise at checkout, monthly subscriptions automatically renew each month and annual subscriptions automatically renew each year until canceled. By selecting a paid subscription and providing a payment method, you expressly authorize DinnerMVP and its payment processor to charge the disclosed recurring price, plus applicable taxes, at the disclosed frequency until cancellation.

Before you authorize payment, checkout will disclose the service, price, billing frequency, renewal term, minimum commitment if any, how to cancel, and any material promotional or trial terms. We will provide a confirmation that you can retain. If a state requires a reminder, renewal notice, price-change notice, renewed consent, or other protection, we will provide it and the state-required rule controls.

We may use a third-party payment processor, currently expected to include Stripe. Your use of payment services may also be subject to the processor’s terms and privacy practices. You authorize us to receive and use transaction status and limited payment-related information needed to administer your subscription. We do not promise that every payment method will remain available.

8 Cancellation account deletion and reactivation

You may cancel a paid subscription at any time through the online account controls made available for that purpose. Cancellation stops future renewal charges and ordinarily takes effect at the end of the then-current paid billing period, unless applicable law requires a different result. You retain access through that period unless the account is terminated for cause or you request immediate deletion.

Canceling a paid subscription is different from deleting an account. When available, you may switch to the Free plan and retain account data, subject to the Privacy Policy, instead of deleting the account. This option will not obstruct or delay cancellation. If you request deletion, we will process the request subject to legal, fraud-prevention, security, billing, dispute, and recordkeeping exceptions described in the Privacy Policy.

If you later sign in using the same email address, you may be offered a new or reactivated account only where permitted by law and consistent with your deletion request. Deleted meal plans or other deleted data may not be recoverable. We will not state or imply that deleted data was retained if it was deleted.

9 Refunds charges and taxes

Except where required by law or expressly stated at purchase, subscription fees are nonrefundable and we do not provide credits for partial billing periods, unused generations, or unused features. This sentence does not limit any cancellation, refund, rescission, charge-reversal, or other right that cannot lawfully be waived, including rights arising from unauthorized charges, billing errors, service failure, or state subscription law.

If you believe a charge is incorrect, contact support@dinnermvp.com promptly with enough information to investigate. You remain responsible for applicable taxes that we are legally required to collect. Failed or reversed payments may result in suspension or downgrade after any notice required by law.

10 Promotions referrals and rewards

Promotions and referral programs may have additional terms presented with the offer. Unless those terms expressly provide otherwise, rewards are available only for bona fide new customers who complete an eligible purchase, may be delayed until the refund and chargeback window closes, and may be withheld, reversed, or canceled if a qualifying purchase is refunded, disputed, charged back, fraudulent, self-referred, duplicated, or otherwise ineligible.

A current referral offer may award a Free user one year of Plus after three distinct referred friends each purchase and maintain an eligible annual paid subscription through the stated validation period. The offer displayed when the referral is made controls. Rewards are promotional, nontransferable, have no cash value, and may be subject to reasonable limits disclosed with the offer. We will not retroactively remove a reward already earned except for fraud, reversal of a qualifying transaction, error, or other grounds stated in the offer terms.

11 Food allergy dietary and health safety

DINNERMVP DOES NOT PROVIDE MEDICAL, NUTRITIONAL, DIETETIC, ALLERGY, OR OTHER PROFESSIONAL HEALTH ADVICE. THE SERVICE IS NOT A SUBSTITUTE FOR A QUALIFIED HEALTH PROFESSIONAL. DO NOT USE THE SERVICE TO DIAGNOSE, TREAT, CURE, OR PREVENT A CONDITION.

Allergy and dietary filters reduce options based on the information and data available to the Service but cannot guarantee that a recipe, ingredient, packaged product, substitution, facility, retailer listing, or fulfilled item is free of an allergen or suitable for a dietary restriction. Ingredient formulations, labels, warnings, cross-contact risks, inventory, and retailer substitutions can change. Always read current packaging and allergen statements, confirm substitutions, prevent cross-contact, and consult a qualified professional when appropriate. If a person may be experiencing an allergic reaction or other emergency, call 911 or seek emergency care.

You are responsible for safe food selection, storage, handling, temperatures, cooking, reheating, and consumption. Follow authoritative food-safety guidance and product instructions. Do not rely on estimated preparation times as proof that food is safe.

12 Budgets prices and benefits

Budgets and prices shown by DinnerMVP are estimates, not quotes or guarantees. Estimates may omit or differ from taxes, deposits, tips, delivery charges, service fees, memberships, substitutions, regional pricing, promotions, inventory changes, package sizes, minimum orders, and retailer-specific terms. Verify the final cart and total before purchase.

DinnerMVP does not determine whether a product qualifies for SNAP, EBT, OTC, Medicare Advantage, insurance, wellness, health-plan, or other benefits. You must verify eligibility with the retailer and benefit administrator before purchase. DinnerMVP does not request or store EBT, Medicare, health-plan, or benefit-card numbers.

13 Retailer handoffs and affiliate relationships

The Service may help assemble a shopping list and direct you to Instacart, Amazon, Amazon Fresh, Whole Foods Market, ALDI, Publix, Walmart, Target, Kroger, or other third parties. A handoff may prefill, match, or suggest items, but you must review and approve the final cart. A third party may replace items, change quantities, or be unable to match an ingredient.

Third-party services are governed by their own terms, privacy policies, accessibility practices, fulfillment rules, return policies, and dispute processes. We do not control and are not responsible for third-party content, availability, pricing, substitutions, security, delivery, or performance. A link does not imply endorsement.

DinnerMVP may receive affiliate compensation, commissions, referral fees, advertising revenue, or other value when you follow a link or complete a purchase. This does not increase your legal obligations to DinnerMVP. We prioritize stated allergy and dietary restrictions over affiliate considerations, but you must still verify every selected item.

14 Ownership licenses and feedback

The Service, including its software, design, compilation, text, graphics, branding, selection and arrangement, and other materials provided by DinnerMVP, is owned by DinnerMVP or its licensors and protected by intellectual-property laws. Subject to these Terms, DinnerMVP grants you a limited, personal, nonexclusive, nontransferable, revocable license to use the Service and to use generated meal plans, recipes, and shopping lists for your own household’s noncommercial purposes.

You retain ownership of information and content you submit. You grant DinnerMVP a worldwide, nonexclusive, royalty-free license to host, store, reproduce, process, adapt, transmit, and display that content only as reasonably necessary to operate, secure, personalize, improve, and support the Service; comply with law; and enforce these Terms, subject to the Privacy Policy. You represent that you have the rights needed to provide the content.

If you provide suggestions or feedback, you grant DinnerMVP a perpetual, irrevocable, worldwide, royalty-free license to use it without restriction or compensation, provided we do not publicly identify you as the source without permission.

15 Acceptable use

You may not:

We may investigate suspected violations and take proportionate action, including limiting features, invalidating codes, suspending access, preserving evidence, or terminating an account, subject to applicable law.

  • use the Service unlawfully, fraudulently, deceptively, or to harm another person;
  • circumvent plan, account, redemption, geographic, security, access, or usage limits;
  • sell, transfer, publish, scrape, harvest, or systematically extract the Service or its output, except as law permits;
  • reverse engineer, decompile, probe, disrupt, overload, introduce malware into, or gain unauthorized access to the Service, except to the limited extent a restriction is prohibited by law;
  • use automated tools to access the Service without our written permission or use Service output to train a competing model or service;
  • infringe privacy, publicity, intellectual-property, or other rights; or
  • misrepresent DinnerMVP output as medical advice, guaranteed pricing, guaranteed benefit eligibility, or a guaranteed retailer cart.

16 Copyright complaints

If you believe material on the Service infringes your copyright, send a notice to support@dinnermvp.com or to the designated agent using the contact information published on DinnerMVP’s Copyright or DMCA page, if applicable. The notice should identify the copyrighted work and allegedly infringing material, provide your contact information, include statements of good-faith belief and accuracy under penalty of perjury, and bear the physical or electronic signature of the authorized person. We may remove material and terminate repeat infringers when appropriate. A knowingly false notice may create liability.

17 Service changes availability and beta features

We may maintain, modify, suspend, or discontinue features for security, legal, technical, business, or operational reasons. We do not guarantee uninterrupted or error-free availability, permanent storage, or compatibility with every device or third party. We will provide notice and remedies required by law when a change materially affects a prepaid consumer service.

Preview, experimental, or beta features may be incomplete and may change or end. They are provided for evaluation subject to the same safety obligations and non-waivable consumer rights as the rest of the Service.

18 Suspension and termination

You may stop using the Service at any time. We may suspend or terminate access if you materially breach these Terms, create risk or legal exposure, fail to pay, misuse codes or referrals, threaten security, or if required by law. When practical and legally appropriate, we will provide notice and an opportunity to cure. Immediate action may be taken for fraud, abuse, security threats, unlawful conduct, or danger to others.

Upon termination, your license to use the Service ends. Sections that by their nature should survive—including ownership, accrued payment obligations, disclaimers, limits of liability, indemnity, dispute terms, and general provisions—survive. Termination does not eliminate rights or remedies that accrued before termination.

19 Disclaimers and limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” DINNERMVP DISCLAIMS IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, QUIET ENJOYMENT, AND WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE. WE DO NOT WARRANT THAT OUTPUTS ARE ACCURATE, COMPLETE, SAFE, NUTRITIONALLY APPROPRIATE, WITHIN BUDGET, AVAILABLE AT A RETAILER, BENEFIT-ELIGIBLE, OR FREE OF ALLERGENS.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, DINNERMVP AND ITS MEMBERS, MANAGERS, EMPLOYEES, CONTRACTORS, LICENSORS, AND SERVICE PROVIDERS WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES; LOST PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY; OR THE COST OF SUBSTITUTE SERVICES, ARISING FROM OR RELATED TO THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, THEIR AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID DIRECTLY TO DINNERMVP DURING THE 12 MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM OR (B) $100.

These exclusions and limits do not apply to liability that cannot legally be excluded or limited, which may include liability for gross negligence, willful misconduct, fraud, personal injury caused by legally actionable conduct, statutory damages that cannot be waived, or infringement attributable to DinnerMVP. Some jurisdictions do not allow certain exclusions or limits, so some provisions may not apply to you.

20 Dispute resolution arbitration and class action waiver

Please read this section carefully. It applies to the broadest extent permitted by law, but it does not prevent either party from bringing an individual claim in small-claims court, seeking public injunctive relief where the right cannot be waived, reporting a matter to a government agency, or pursuing any remedy that applicable law makes non-arbitrable.

20.1 Informal resolution

Before filing arbitration or a lawsuit, the claimant must send an individualized written Notice of Dispute to support@dinnermvp.com describing the claimant, account email, facts, legal basis, requested relief, and a good-faith calculation of monetary relief. DinnerMVP may provide a separate legal-notice address or submission method on the Service. The parties will attempt in good faith to resolve the matter for 45 days after receipt. A limitations period is tolled during that period where permitted by law.

20.2 Binding individual arbitration

Except for excluded claims described above, any dispute arising out of or relating to these Terms, the Service, marketing, subscriptions, or the relationship between you and DinnerMVP will be resolved by binding individual arbitration under the Federal Arbitration Act. The American Arbitration Association will administer the arbitration under its applicable Consumer Arbitration Rules, as modified by these Terms. If AAA is unavailable or unwilling, the parties will select another nationally recognized administrator or a court will appoint one under 9 U.S.C. § 5.

The arbitrator may award the same individualized remedies a court could award and must apply applicable substantive law and valid limitation periods. The arbitrator decides issues about the scope or enforceability of this arbitration agreement, except that a court decides whether the class-action waiver is enforceable. Hearings may occur by video, telephone, documents, or in the county where you live, consistent with the administrator’s consumer rules.

20.3 Fees

Payment of arbitration fees will be governed by the administrator’s consumer rules and applicable law. DinnerMVP will pay fees it is required to pay so that this agreement is enforceable. Each party pays its own attorneys’ fees unless a statute, rule, or award permits otherwise.

20.4 No class or representative proceedings

YOU AND DINNERMVP AGREE THAT EACH MAY BRING CLAIMS ONLY ON AN INDIVIDUAL BASIS, NOT AS A PLAINTIFF OR CLASS MEMBER IN A CLASS, COLLECTIVE, CONSOLIDATED, COORDINATED, MASS, OR REPRESENTATIVE ACTION OR ARBITRATION. THE ARBITRATOR MAY NOT COMBINE CLAIMS OR PRESIDE OVER A REPRESENTATIVE PROCEEDING WITHOUT ALL PARTIES’ WRITTEN CONSENT. This does not waive public injunctive relief where applicable law makes that right non-waivable.

20.5 Opt out

You may opt out of this arbitration agreement by emailing support@dinnermvp.com within 30 days after you first accept these Terms. The email must state “Arbitration Opt Out” and include your full name, account email, and an unequivocal statement that you opt out. Opting out will not affect your account or other Terms. If you validly opted out of an earlier arbitration agreement with DinnerMVP, you do not need to opt out again unless you later affirmatively agree to a new arbitration provision.

20.6 Severability

If the class-action waiver is finally found unenforceable as to a particular claim or remedy, that claim or remedy will proceed in court after arbitrable matters are completed, unless applicable law requires otherwise. If any other part of this Section is unenforceable, it will be severed and the remainder enforced to the maximum lawful extent.

21 Indemnification

To the extent permitted by law, you will defend, indemnify, and hold harmless DinnerMVP and its members, managers, employees, contractors, and service providers from third-party claims, damages, and reasonable costs arising from your unlawful use of the Service, your content, your material breach of these Terms, or your violation of another person’s rights. This obligation does not apply to the extent a claim results from DinnerMVP’s own negligence, willful misconduct, or violation of law, or where consumer law prohibits the obligation. DinnerMVP may control the defense of an indemnified claim, and you may not settle it in a way that admits fault by or binds DinnerMVP without consent.

22 Governing law and courts

The Federal Arbitration Act governs Section 20. For matters not subject to arbitration, Florida law governs without regard to conflict-of-law principles, except that the mandatory consumer-protection law of your state of residence continues to apply when it cannot lawfully be waived. Subject to Section 20, the parties consent to the state and federal courts located in Miami-Dade County, Florida, unless applicable law gives you the right to sue elsewhere.

23 State specific consumer rights

These Terms are intended for nationwide U.S. use. They do not waive rights that applicable federal, state, territorial, tribal, or local law makes non-waivable. If a provision conflicts with such a right, the controlling law applies and the provision is interpreted or limited only as needed. The following provisions emphasize, but do not exhaust, state protections.

23.1 California

For California consumers, automatic-renewal and continuous-service offers will be presented with clear material terms and express affirmative consent; an acknowledgment that can be retained; online cancellation and cancellation through the same medium used to enroll; annual reminders; notices for qualifying annual renewals, trials, and fee changes; and any other protection required by California law. Nothing in these Terms waives rights under the California Consumers Legal Remedies Act or other non-waivable California law. California residents may contact the Complaint Assistance Unit of the Division of Consumer Services of the California Department of Consumer Affairs at 1625 North Market Boulevard, Suite N 112, Sacramento, CA 95834, or (800) 952-5210.

23.2 Colorado Connecticut Delaware District of Columbia Illinois Maryland New York Vermont and Virginia

Consumers in these jurisdictions receive the automatic-renewal disclosures, affirmative consent, retainable acknowledgment, simple cancellation method, renewal or annual reminders, trial notices, material-change or price-change notices, and other protections required by the law applicable to the particular offer. Where online enrollment occurred and law requires online cancellation, cancellation will be available online. Retention offers will not obstruct or delay cancellation.

23.3 Florida and other renewal notice states

For Florida consumers and consumers in Georgia, Hawaii, Idaho, Louisiana, Maine, New Mexico, North Carolina, North Dakota, Oregon, Pennsylvania, South Dakota, Tennessee, Utah, Wisconsin, and any other state imposing renewal requirements, DinnerMVP will provide the disclosures and advance notices required for the type and duration of subscription offered. For a Florida service contract within Florida Statutes section 501.165, a qualifying annual renewal notice will be sent within the statutory window.

23.4 New Jersey

Nothing in these Terms limits rights or remedies under the New Jersey Consumer Fraud Act or other New Jersey law. Any warranty disclaimer, liability limitation, indemnity, venue term, or other provision applies to a New Jersey consumer only to the extent permitted by New Jersey law.

23.5 Remaining states and territories

For consumers in Alabama, Alaska, Arizona, Arkansas, Indiana, Iowa, Kansas, Kentucky, Massachusetts, Michigan, Minnesota, Mississippi, Missouri, Montana, Nebraska, Nevada, New Hampshire, Ohio, Oklahoma, Rhode Island, South Carolina, Texas, Washington, West Virginia, Wyoming, U.S. territories, and every other U.S. jurisdiction, all mandatory consumer, subscription, warranty, privacy, accessibility, electronic-contracting, unfair-practices, and dispute-resolution rights remain in effect. An omission from this Section does not waive or reduce any right.

24 Changes to these Terms

We may update these Terms prospectively. If a change is material, we will provide notice reasonably calculated to reach you, such as by email or a prominent Service notice, before the change takes effect when required by law. The notice will state the effective date. Changes do not retroactively alter an existing dispute. If applicable law requires affirmative consent, we will request it. Continuing to use the Service after the effective date constitutes acceptance only to the extent permitted by law.

25 Electronic communications

You consent to receive contractual records and service communications electronically at the email address associated with your account or through the Service. You may withdraw consent where the law allows, but doing so may require account closure if electronic delivery is necessary to provide the Service. Marketing communications are governed by separate consent and may be unsubscribed from without ending required transactional messages. You are responsible for keeping your email address current.

26 Contact and legal notices

DinnerMVP is operated by Medstrategic LLC, doing business as DinnerMVP.

Email: support@dinnermvp.com

Website: https://dinnermvp.com

Legal notices: support@dinnermvp.com

Legal notices must include sufficient detail to identify the sender, account, issue, and requested relief. Email does not constitute formal service of process unless DinnerMVP expressly agrees or applicable law provides otherwise.

27 General terms

These Terms, the Privacy Policy, any offer terms shown at purchase, and any additional terms expressly incorporated into the Service form the entire agreement between you and DinnerMVP about the Service. If additional terms conflict, the more specific terms control for that subject; mandatory law always controls.

You may not assign these Terms without our written consent. DinnerMVP may assign them in connection with a merger, financing, reorganization, asset transfer, or operation of the Service, provided the assignment does not reduce non-waivable consumer rights. No waiver is effective unless in writing, and failure to enforce a provision is not a waiver. If any provision is unenforceable, it will be limited or severed to the minimum extent necessary and the remainder will continue, subject to Section 20.6. Section headings are for convenience. “Including” means “including without limitation.”

Neither party is liable for delay or failure caused by events beyond reasonable control, except that this does not excuse payment already due or obligations that applicable law does not permit to be excused. Nothing creates an agency, partnership, joint venture, fiduciary, employment, or franchise relationship between you and DinnerMVP.
